Terms of Service

Effective: March 31, 2026 Barshe Tech Solutions Corporation · Delaware, USA

Please read these Terms carefully. These Terms of Service ("Terms") form a legally binding agreement between you (and the organization you represent, if applicable) and Barshe Tech Solutions Corporation ("Barshe Tech," "we," "our," or "us"). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

Critical Aviation Notice: AeroDeck is an operational management platform — it is not an FAA-certified, EASA-approved, or otherwise type-certified flight planning system. AeroDeck does not replace the pilot's regulatory obligations, preflight duties, airworthiness determinations, or any other legal responsibility of the pilot-in-command or operator. Read Section 13 carefully before use.

Acceptance of Terms

By creating an account, accessing the AeroDeck platform, visiting barshe-tech.com, or using any other Barshe Tech product or service, you agree to be bound by these Terms of Service, our Privacy Policy (available at barshe-tech.com/privacy.html), and any additional policies, guidelines, or terms applicable to specific features or services (collectively, the "Agreement").

If you are accepting these Terms on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement. In that case, "you" refers to both you individually and the organization. If you do not have such authority, you must not accept these Terms and must not use the Services.

If you do not agree to these Terms, you may not access or use the Services. Your continued use of the Services after any update to these Terms constitutes your acceptance of the updated Terms.

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services. The Services are intended for professional and commercial use; they are not directed at consumers for personal use.

02

The Services are provided as-is and may evolve over time. We may add, modify, or remove features at our discretion. Where a material change would meaningfully reduce the Services you are paying for, we will provide advance notice.

The Services are provided via web application accessible through standard web browsers and, where available, through native mobile applications. Access requires an internet connection for most functionality; offline functionality is described in Section 12.

03

Account Registration & Security

Registration

To use most features of the Services, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. Providing false information is a violation of these Terms and may result in account termination.

Account Credentials

You are responsible for maintaining the confidentiality of your account credentials (username, password, two-factor authentication tokens). You are responsible for all activity that occurs under your account, whether or not authorized by you. You agree to:

  • Use a strong, unique password for your Barshe Tech account.
  • Enable two-factor authentication (2FA), which we strongly recommend and may require for certain account types.
  • Notify us immediately at info@barshe-tech.com of any suspected unauthorized access to your account or breach of your credentials.
  • Not share your account credentials with unauthorized individuals.
  • Log out of your account when using shared or public devices.

Organizational Accounts

If you create an organization account, the account administrator is responsible for managing user access, setting role-based permissions, and ensuring that all users within the organization comply with these Terms. The organization is jointly and severally responsible for the actions of all users operating under its account.

One Account Per User

Each individual user may maintain one personal account. Creating multiple accounts to circumvent restrictions, obtain additional free trial access, or for any other fraudulent purpose is prohibited.

04

Subscriptions & Payment

Subscription Plans

Access to paid features of the Services requires a paid subscription. Subscription plans, pricing, and included features are described on our website and in your subscription agreement. Barshe Tech reserves the right to change pricing with advance notice (not less than 30 days for existing subscribers).

Payment Terms

  • Subscription fees are charged in advance on a recurring basis (monthly or annually, depending on your plan).
  • Payments are processed by our third-party payment processor. By providing payment information, you authorize us (through our payment processor) to charge your payment method for the applicable subscription fees.
  • All fees are in U.S. Dollars unless otherwise stated. You are responsible for any currency conversion fees or taxes imposed by your payment provider or applicable taxing authority.
  • Fees are non-refundable except as expressly stated in this Agreement or required by applicable law. If you cancel a subscription mid-period, you retain access through the end of the paid period; no partial refunds are issued.

Taxes

You are responsible for all taxes, duties, and charges associated with your purchase. If Barshe Tech is required to collect taxes on your behalf, such taxes will be added to your invoice.

Free Trials

Where we offer a free trial, you may access paid features for the trial period without charge. At the end of the trial, your account will convert to a paid subscription unless you cancel before the trial ends. We may require a payment method at the start of a trial and will charge it upon conversion.

Failed Payments

If a payment fails, we will notify you and attempt to collect payment. If payment cannot be collected within 10 days of the due date, we may suspend or terminate your access to paid features. We will provide notice before suspension where reasonably possible.

Enterprise Agreements

Enterprise customers may enter into separate written agreements with Barshe Tech that supersede applicable portions of these Terms with respect to pricing, SLAs, and other commercial terms. Where a conflict exists between a signed enterprise agreement and these Terms, the enterprise agreement controls.

05

Acceptable Use Policy

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

Prohibited Conduct

  • In any way that violates any applicable federal, state, local, or international law or regulation, including aviation regulations (FAA, EASA, ICAO, and equivalent authorities).
  • To transmit, or facilitate the transmission of, false, misleading, or fraudulent data — including falsified flight logs, crew certifications, maintenance records, passenger manifests, or regulatory filings.
  • To submit fraudulent or fabricated eAPIS, APIS, or other government regulatory filings.
  • To gain unauthorized access to any part of the Services, other user accounts, or Barshe Tech's systems and networks.
  • To reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services or any AI models powering them.
  • To use automated tools (bots, scrapers, crawlers) to access the Services without our express written permission.
  • To introduce malware, viruses, or any other harmful code into the Services.
  • To use the Services to harass, abuse, or harm any person.
  • To resell or sublicense the Services without written authorization from Barshe Tech.
  • To use the Services to build a competing product or service, or to benchmark the Services for competitive purposes without our consent.
  • To circumvent any rate limits, access controls, authentication mechanisms, or security features of the Services.
  • In any manner that could disable, overburden, damage, or impair the Services or interfere with other users' use of the Services.

Compliance with Aviation Law

You are solely responsible for ensuring that your use of AeroDeck — including all data entered, all regulatory submissions made, all flight plans reviewed, and all operational decisions supported by the platform — complies with all applicable aviation regulations, airspace rules, aircraft airworthiness requirements, crew certification requirements, and safety standards. AeroDeck is a tool to help you manage operations more efficiently; it does not alter your legal obligations as a pilot-in-command, operator, or certificate holder.

Enforcement

We reserve the right to investigate violations of this Acceptable Use Policy and to take any action we deem appropriate, including suspending or terminating your account, reporting violations to law enforcement, or cooperating with government investigations. We will not be liable for any action we take in good faith to enforce this policy.

06

Intellectual Property

Barshe Tech Property

Barshe Tech Solutions Corporation owns all right, title, and interest in and to the Services, including:

  • The AeroDeck platform, including all software, code, algorithms, databases, interfaces, design, and features.
  • The AI Quote Engine and all related models, prompts, algorithms, and output logic.
  • The AI Expense Extraction technology and related components.
  • Healthcare AI tools and enterprise AI solutions.
  • All Barshe Tech trademarks, service marks, trade names, logos, and brand elements, including "Barshe Tech Solutions Corporation," "AeroDeck," and "AI Quote Engine."
  • All documentation, training materials, and written content produced by Barshe Tech.

Nothing in these Terms transfers any intellectual property rights to you. Your use of the Services does not grant you ownership of any content, feature, or functionality.

License to Use

Subject to your compliance with these Terms and payment of applicable fees, Barshe Tech grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business operations during your subscription period. This license does not include any right to:

  • Copy, modify, adapt, or create derivative works of the Services.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Sublicense, sell, rent, lease, or transfer access to the Services to any third party.
  • Use the Services for the benefit of any third party without Barshe Tech's written consent.

Feedback

If you provide suggestions, ideas, enhancement requests, or other feedback about the Services ("Feedback"), you grant Barshe Tech a royalty-free, worldwide, perpetual, irrevocable, transferable license to use, incorporate, and commercialize that Feedback without restriction and without any obligation to compensate you. We are not obligated to act on Feedback.

Third-Party Content

The Services may incorporate or link to third-party content, tools, or services (including aviation data feeds, weather data, and AI provider outputs). Barshe Tech does not own such third-party content and makes no representations about its accuracy, reliability, or completeness. Third-party services are subject to their own terms and conditions.

07

Your Data & Content

You Own Your Data

You retain full ownership of all data, content, and information that you or your organization enter into the Services ("User Data"). This includes flight records, passenger manifests, crew data, maintenance logs, expense records, and all other operational data. Barshe Tech does not claim any ownership rights in your User Data.

License to Us

By entering User Data into the Services, you grant Barshe Tech a limited, non-exclusive, royalty-free license to store, process, transmit, and display your User Data solely as necessary to provide the Services to you and as described in our Privacy Policy. This license is limited to the purposes of operating and improving the Services for your benefit.

What We Do Not Do With Your Data

  • We do not sell your User Data to third parties.
  • We do not use your aviation operations data, passenger data, or crew data to train general-purpose AI models that are shared with or benefit other customers.
  • We do not analyze your User Data for advertising purposes.

Your Responsibility for User Data

You are solely responsible for the accuracy, completeness, legality, and appropriateness of all User Data you enter into the Services. You represent and warrant that:

  • You have all necessary rights, consents, and authorizations to enter User Data into the Services, including consent from individuals whose personal data (such as passenger or crew member data) you enter.
  • Your User Data does not violate any applicable law or any third party's rights.
  • Your regulatory submissions (eAPIS, APIS, flight plans, etc.) are accurate and complete to the best of your knowledge.

No Vendor Lock-In

You can export all of your User Data at any time through the platform's export functions in machine-readable formats. We believe your data belongs to you and you should be able to take it with you. See Section 16 for post-termination export rights.

08

AI Features Disclaimer

AI outputs are advisory only. AeroDeck's AI-powered features produce estimates, recommendations, and extracted data to assist you — not to replace your professional judgment. All AI outputs must be reviewed and verified by a qualified human before relying on them for operational or compliance purposes.

AI Quote Engine

The AI Quote Engine generates trip cost estimates based on inputs you provide. These estimates are generated by AI algorithms and are approximations. They:

  • May not reflect real-time fuel prices, handling fees, or other costs at the time of the actual trip.
  • Are not guaranteed to be accurate, complete, or current.
  • Do not constitute a binding commercial offer or contract with any vendor, FBO, handler, or service provider.
  • Should be verified against current published rates before being used for invoicing, billing, or contractual purposes.

You are responsible for verifying all quote figures before presenting them to clients or committing to expenditures based on them.

AI Expense Extraction

The AI Expense Extraction feature uses optical character recognition and AI models to extract data from receipt images. Extracted data:

  • May contain errors, particularly with handwritten receipts, non-standard formats, or receipts in unusual languages.
  • Must be reviewed and confirmed by the user before submission to accounting systems or expense reports.
  • Is not certified for tax, audit, or regulatory purposes without human verification.

No Regulatory Certification

No AI feature within AeroDeck or any other Barshe Tech product is certified, approved, or qualified by the FAA, EASA, ICAO, or any other regulatory authority. AI outputs are advisory tools for professional users with domain expertise — they are not a substitute for regulatory compliance or certified systems where such certification is required.

Third-Party AI Providers

AI features depend on third-party AI service providers. Barshe Tech is not liable for errors, outages, or changes in the performance of third-party AI models that affect our AI features. See our Privacy Policy for information about how your data is processed by third-party AI providers.

09

Aviation Disclaimer

Not a certified flight planning system. AeroDeck is an operational management tool. It is not an FAA-approved, EASA-certified, or otherwise type-certified system for flight planning, navigation, airworthiness determination, or any safety-of-flight purpose. The pilot-in-command is always solely responsible for all preflight decisions, airworthiness determinations, and regulatory compliance.

Platform Purpose and Limitations

AeroDeck is designed to help aviation operators manage the administrative, logistical, and documentation aspects of flight operations more efficiently. Specifically:

  • AeroDeck does not replace the responsibility of the pilot-in-command to obtain and review a complete weather briefing through FAA-approved or equivalent sources before any flight.
  • AeroDeck does not replace the responsibility of the operator to determine airworthiness of the aircraft through proper maintenance channels and logbook review before any flight.
  • AeroDeck does not replace the responsibility of the operator or dispatcher to verify crew currency, certification validity, rest requirements, and legal compliance through authoritative records.
  • AeroDeck does not constitute FAA-approved weight-and-balance software. The Weight & Balance Wizard is a planning and estimation tool; it does not replace the requirement to compute weight and balance in accordance with the aircraft's FAA-approved Airplane Flight Manual (AFM) or equivalent.
  • AeroDeck does not constitute an approved method of flight plan filing for regulatory purposes. Flight plans must be filed through official channels. AeroDeck may assist in preparing and submitting flight plans, but the operator is responsible for confirming receipt and acceptance by the appropriate ATC facility or authority.
  • Weather data, NOTAMs, and other aeronautical information displayed within AeroDeck are for planning and situational awareness purposes only. They are not a substitute for an official weather briefing from an FAA-certified provider (such as 1800wxbrief.com) or equivalent service. Data may be delayed, incomplete, or unavailable.
  • APIS, eAPIS, GenDec, and other international regulatory submissions facilitated by AeroDeck are submitted at your direction. You are responsible for verifying that all submission data is accurate, complete, and timely. Barshe Tech is not responsible for rejected, failed, or non-compliant submissions.

Pilot-in-Command Authority and Responsibility

Nothing in these Terms or in AeroDeck's features alters the pilot-in-command's (PIC's) absolute authority and responsibility for the safety of the aircraft and its occupants under 14 CFR §91.3 and equivalent regulations worldwide. AeroDeck is a dispatch, operations, and management tool — it is not an instrument of flight authority. The PIC's judgment supersedes any platform output in all matters affecting flight safety.

User Responsibility for Regulatory Compliance

You are solely responsible for ensuring your operations comply with all applicable regulations, including but not limited to:

  • FAA regulations (14 CFR Parts 61, 91, 119, 135, and others as applicable).
  • EASA regulations and member state national aviation authority rules.
  • ICAO Standards and Recommended Practices (SARPs).
  • All applicable customs, immigration, and border control regulations for international operations.
  • All applicable local laws and regulations in the jurisdictions where you operate.

Barshe Tech does not provide legal, regulatory, or aviation compliance advice. Nothing in the Services constitutes legal advice. Consult a qualified aviation attorney, your FSDO, or your aviation authority if you have compliance questions.

10

Data Accuracy

The quality and accuracy of AeroDeck's outputs depend entirely on the accuracy of the data you enter. You are responsible for:

  • Ensuring that all flight data, aircraft specifications, crew information, passenger data, and other operational data entered into AeroDeck is accurate, complete, and current.
  • Ensuring that aircraft weight-and-balance profiles, performance data, and configuration settings entered into AeroDeck accurately reflect the actual aircraft as maintained and configured at the time of each flight.
  • Verifying the accuracy of AI-extracted data (from the Expense Extraction feature) before relying on it.
  • Correcting errors discovered in data entered into the platform promptly.
  • Ensuring that duty time entries, rest period records, and crew certificate information are accurate and current.

Barshe Tech is not responsible for errors or adverse outcomes arising from inaccurate, incomplete, or outdated data entered by users. Garbage in, garbage out applies with particular force in aviation operations, where inaccurate data can have serious consequences.

11

Service Availability & Uptime

Best-Effort Availability

Barshe Tech aims to maintain high availability for its Services. However, we do not guarantee uninterrupted or error-free service. The Services are provided on a best-effort basis without a guaranteed uptime service level agreement (SLA) unless a specific SLA is set forth in a signed enterprise agreement with your organization.

Scheduled Maintenance

We may take the Services offline for scheduled maintenance, updates, or infrastructure improvements. Where feasible, we will provide advance notice of scheduled downtime through the platform or by email.

Unscheduled Outages

Unscheduled outages may occur due to hardware failures, software bugs, network disruptions, attacks, or other causes beyond our control. We will work to restore service as quickly as possible. We are not liable for losses arising from service unavailability except as expressly provided in a separate enterprise agreement.

Third-Party Dependencies

The Services depend on third-party infrastructure (cloud hosting providers), AI services, weather data feeds, and other external services. Outages or degradation in third-party services may affect the availability or accuracy of features within AeroDeck. We are not liable for outages caused by third-party service failures.

Offline Functionality

AeroDeck is designed to maintain core functionality in offline mode (see Section 12), which reduces the operational impact of internet connectivity issues. However, offline mode is not a substitute for or guarantee of full platform availability.

Aviation Operations Advisory

Because AeroDeck is an operational management tool used in connection with aviation activities, operators should maintain contingency procedures for managing operations in the event of platform unavailability. Do not rely solely on AeroDeck's availability for time-critical regulatory filings (such as eAPIS submissions) without backup procedures in place.

12

Offline Functionality Disclaimer

AeroDeck is designed to support aviation operations in environments with limited or no internet connectivity. The following terms apply to offline functionality:

Scope of Offline Functionality

In offline mode, AeroDeck makes available certain cached data and allows you to create and edit records that will sync to our servers when connectivity is restored. Offline functionality is limited — not all features are available offline. Features that require real-time data (live weather, AI Quote Engine, AI Expense Extraction, regulatory submission processing) are not available in offline mode.

Data Consistency

Data created or modified offline is stored locally on your device and synced to our servers when connectivity is restored. In the event of conflicts (where the same record was modified offline on multiple devices or both offline and online), AeroDeck applies conflict resolution logic that may not preserve all versions of a record. You should review synced data for accuracy after extended offline periods.

No Guarantees for Offline Data

Barshe Tech does not guarantee the completeness, accuracy, or currency of data available in offline mode. Offline-cached data reflects the state of your account at the time of last sync and may not reflect updates made by other users or administrators during the offline period. You should always verify critical operational data (crew availability, maintenance status, airport information) against authoritative current sources before flight.

Device Security

Data cached on your device in offline mode is subject to your device's own security. You are responsible for protecting your device with appropriate security measures (passcode, biometric authentication, device encryption). Barshe Tech is not responsible for unauthorized access to offline-cached data due to inadequate device security.

Regulatory Submissions

eAPIS, APIS, and other regulatory filings require active internet connectivity and cannot be submitted in offline mode. These submissions are time-sensitive; do not rely on offline mode for compliance with pre-departure filing requirements.

13

Limitation of Liability

Read carefully. This section limits Barshe Tech's liability to you. Given the nature of aviation operations — where software errors could potentially contribute to consequences of significant severity — these limitations are material to the pricing and availability of the Services.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BARSHE TECH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY DATA, CONTENT, OR INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING WEATHER DATA, NOTAM DATA, FUEL PRICING, AND AI-GENERATED OUTPUTS;
  • WARRANTIES THAT DEFECTS IN THE SERVICES WILL BE CORRECTED;
  • WARRANTIES THAT THE SERVICES ARE SUITABLE FOR USE IN SAFETY-CRITICAL APPLICATIONS OR THAT THEY MEET THE STANDARD OF CARE REQUIRED FOR CERTIFIED AVIATION SYSTEMS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BARSHE TECH SOLUTIONS CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
  • LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS;
  • PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE ARISING FROM OR RELATED TO THE USE OF OR INABILITY TO USE THE SERVICES;
  • COSTS OF SUBSTITUTE GOODS OR SERVICES;
  • ANY AVIATION INCIDENT, ACCIDENT, OR SAFETY-OF-FLIGHT EVENT ARISING FROM OR RELATED TO YOUR USE OF AERODECK OR RELIANCE ON ANY OUTPUT OF THE SERVICES;

ARISING OUT OF OR RELATED TO THIS AGREEMENT OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF BARSHE TECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BARSHE TECH'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT — FROM ALL CAUSES OF ACTION AND ALL THEORIES OF LIABILITY — IS LIMITED TO THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO BARSHE TECH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM GIVING RISE TO THE LIABILITY; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

Essential Basis of Bargain

You acknowledge that the limitations of liability and disclaimers of warranty in this Section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between you and Barshe Tech. Without these limitations, Barshe Tech would not be able to offer the Services at current pricing. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in such jurisdictions, Barshe Tech's liability is limited to the maximum extent permitted by law.

14

Indemnification

You agree to defend, indemnify, and hold harmless Barshe Tech Solutions Corporation and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation.
  • Your use or misuse of the Services, including reliance on AI-generated outputs without appropriate human review.
  • Your User Data, including any claim that your User Data infringes, misappropriates, or violates any third-party right or applicable law.
  • Your aviation operations, including any incident, accident, regulatory violation, or third-party claim arising from your flight operations, whether or not connected to AeroDeck.
  • Any regulatory filing (eAPIS, APIS, flight plan, GenDec, etc.) submitted through AeroDeck that is inaccurate, incomplete, or non-compliant.
  • Any breach of your representations and warranties under these Terms.
  • Unauthorized use of your account credentials by third parties where such unauthorized use resulted from your failure to maintain credential security.

Barshe Tech reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with Barshe Tech's defense of such claims and not to settle any such claim without Barshe Tech's prior written consent.

15

Termination

Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting us at info@barshe-tech.com. Cancellation takes effect at the end of your current billing period. No refund is issued for the remaining period. See Section 16 for data export rights after termination.

Termination by Barshe Tech

Barshe Tech may suspend or terminate your access to the Services at any time, with or without notice, if:

  • You materially breach these Terms and fail to cure the breach within 10 days of written notice (or immediately for breaches involving illegal conduct, safety risks, or serious security threats).
  • Your payment fails and cannot be collected within the cure period described in Section 4.
  • We are required to do so by applicable law, regulation, or court order.
  • Continued provision of Services to you would expose Barshe Tech to legal or regulatory liability.
  • We decide to discontinue the Services (with reasonable advance notice).

Effect of Termination

Upon termination, your right to access and use the Services immediately ceases. Provisions of these Terms that by their nature should survive termination will survive, including: Sections 6 (Intellectual Property), 7 (User Data), 8 (AI Disclaimer), 9 (Aviation Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 17 (Governing Law), 18 (Dispute Resolution), and 19 (General Provisions).

Suspension

Short of full termination, Barshe Tech reserves the right to suspend your account (disable access while preserving data) pending investigation of a suspected violation or pending payment resolution. We will notify you of suspension and the reason as promptly as reasonably possible.

16

Data Export on Termination

No vendor lock-in. Your data is yours. When your account ends for any reason, you have a 90-day window to export everything.

Barshe Tech is committed to ensuring you are never locked into our platform against your will. Upon termination or expiration of your account:

  • Export window: Your account data remains accessible for export for 90 days following termination. During this period, you retain read and export access to your account data even though paid features are disabled.
  • Export formats: All User Data can be exported in machine-readable formats (CSV, JSON, and other formats as available) directly through the platform's export function.
  • Complete export: The export function includes all flight records, trip logs, crew records, maintenance records, expense records, passenger records, quote records, and other User Data associated with your account.
  • After 90 days: After the 90-day export window, your data is deleted or de-identified from our active systems in accordance with our Privacy Policy.

If you require assistance with data export, or if you need data in a specific format not supported by the standard export function, contact us at info@barshe-tech.com. We will make commercially reasonable efforts to accommodate reasonable export requests.

Barshe Tech is not responsible for your failure to export data within the 90-day window. We recommend initiating a data export immediately upon deciding to terminate your account.

17

Governing Law

This Agreement, and any dispute arising out of or related to this Agreement or the Services, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

To the extent that any claim is not subject to arbitration under Section 18, you and Barshe Tech consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware, USA, for the resolution of such claim. You waive any objection to such jurisdiction or venue.

18

Dispute Resolution & Arbitration

Informal Resolution First

Before initiating any formal dispute proceeding, you agree to first contact Barshe Tech at info@barshe-tech.com and describe your dispute. We will make a good-faith effort to resolve the dispute informally within 30 days of receiving your notice. If the dispute cannot be resolved informally within 30 days, either party may proceed to arbitration as described below.

Binding Arbitration

Except for claims that qualify for small claims court, any dispute, controversy, or claim arising out of or relating to this Agreement, the Services, or the breach, termination, or validity thereof, shall be submitted to binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its applicable rules. The arbitration shall be conducted in the State of Delaware, USA, unless the parties agree otherwise or the arbitrator determines that another location is more appropriate under the circumstances.

The arbitrator shall have the authority to award any remedy or relief that a court could award, except that the arbitrator may not award punitive damages except as authorized by statute. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BARSHE TECH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions to Arbitration

The following claims are exempt from mandatory arbitration:

  • Claims eligible for small claims court in the applicable jurisdiction.
  • Claims seeking injunctive or other equitable relief to protect intellectual property rights or prevent unauthorized use of the Services.
  • Claims arising from violations of the Acceptable Use Policy involving illegal conduct or imminent harm.

Severability

If any portion of this arbitration agreement is found to be unenforceable, that portion will be severed and the remainder of the arbitration agreement will continue in full force.

19

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any applicable enterprise agreement, order form, or addendum, constitute the entire agreement between you and Barshe Tech with respect to the Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof. No oral statements by Barshe Tech employees or representatives shall modify these Terms.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect.

Waiver

No failure or delay by Barshe Tech to exercise any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy on any one occasion does not constitute a waiver of that right or remedy on any other occasion.

Assignment

You may not assign or transfer your rights or obligations under these Terms without Barshe Tech's prior written consent. Any attempted assignment without consent is void. We will notify you of any force majeure event and its expected duration as promptly as reasonably possible.

Changes to These Terms

Barshe Tech reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Post the revised Terms on this page with an updated effective date.
  • Notify registered users by email at least 14 days before the changes take effect (for material changes).
  • Display a prominent notice within the AeroDeck platform.

Material changes include changes that: expand our rights to your data, limit your rights under these Terms, add new fees or change billing practices, or alter the dispute resolution or limitation of liability provisions.

Your continued use of the Services after the effective date of any change constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using the Services and may terminate your account. If you terminate due to a material change in Terms, contact us at info@barshe-tech.com to discuss your data export and any applicable prorated refund.

For minor, non-material changes (typographical corrections, clarifications, reorganization without substance change), we may update these Terms without individual notification. The current version of the Terms is always available at barshe-tech.com/terms.html.
